A token warrant lets an equity investor buy tokens later at a preset price, and the upfront cost is small; Magna, a token-management vendor, puts it at $500 to $1,000. The cost is not the decision. The decision is the allocation formula, because one choice of formula can hand a 10% shareholder 10% of the token supply for good.

Who decides this

The CFO and general counsel own the token warrant together. The CFO answers for the economics: how much of the supply each investor can claim, and how that claim moves as the company raises again. General counsel answers for the instrument: which entity is bound, what triggers exercise, and what securities and tax position the delivery creates. The board signs the round, but these two will be asked to explain it at the token launch.

Warrant, side letter or rights in the equity documents?

Use a separate token warrant when the equity sits on a standard SAFE you do not want to edit. That is the main reason the instrument exists. Magna says investors in US companies with no live token usually request equity paired with token rights, and a warrant keeps the token terms out of the equity paper.

There are two other routes, each with a cost. A token side letter is part of the equity instrument. Magna’s guide notes it may not be assignable to a foundation or an offshore token issuer. The third route writes token rights into the share purchase or investor rights agreement of a priced round. That suits a lead who wants everything in one set of documents, but it ties token terms to equity amendments.

The VC Beast glossary gives an illustrative side-letter deal. A startup raises $3 million on SAFEs at a $30 million cap. Investors share 10% of the token supply pro rata, vesting over four years with a six-month lockup after the token generation event. Every one of those terms can sit in a warrant instead.

All three share one feature that investors value. The equity and the token right are legally separate, so if no token ever launches, the investor still holds shares. For the company, the trade-off runs the other way: every unexercised right is a claim on a future supply that the company has not yet designed.

How many tokens does each investor get?

Pick the allocation formula before you negotiate anything else, because it sets dilution for the life of the token. Magna’s token warrant guide, written with an advisory firm that supplied a sample warrant, sets out three methods and adds a fourth in its discussion of dilution. The table uses its examples for an investor holding 10% of the equity.

MethodHow the share is setExample (10% equity)Diluted by later rounds?Who it favours
Pro rata share of the company reserveEquity % applied to the tokens set aside for the company40% reserve gives 4% of supplyYesFounders; friendliest to decentralisation
Fixed % of total supplyEquity % applied to the whole supply, fixed at signing10% of supplyNoInvestors
Ratio to equityEquity % divided by an agreed ratio2:1 gives 5%; 3:1 gives about 3.33%NoA compromise when token value exceeds equity value
Pro rata % of total supply, tracking equitySupply % follows the investor’s current equity %Diluted to 8% after a Series A, so 8% of supplyYes, with the equityTracks the cap table

Our view: the fixed-percentage method is the one to resist. Magna flags its costs: supply concentrated in investor hands, regulatory and decentralisation questions, a precedent the next investor will demand, and less room to raise later. If your seed lead insists on it, cap the total supply any investor class can claim.

The company-reserve method has its own trap. If the reserve is undefined at signing, the investor’s share is undefined too. Magna notes reserves are sometimes written as a floor or range, such as 30% to 50%. Write the number, or the range, into the warrant.

Run every formula against the same token model before you sign. Magna’s ratio example shows why: $1 million at a $10 million equity valuation, with a 2:1 ratio, can be read as implying a $20 million fully diluted token valuation. That figure becomes an anchor for every later round, as our FDV guide explains.

Which entity issues the tokens, and can the warrant follow?

Name the token issuer’s path before you sign, because the operating company that grants the warrant is often not the entity that will mint the token. Some projects later place the token in a foundation or offshore issuer. A side letter may not travel there; a warrant should be drafted so it can. Eqvista notes this flexibility is one reason teams use warrants when the operating company’s home jurisdiction does not suit a token launch.

Build in an assignment or novation clause, and agree now whether investor consent is needed to move the obligation. Tally, writing about its own launch preparation in February 2026, said every investor on its cap table had to be formally notified and sign off before its token went live. Plan for that step in the launch calendar, not the week before listing.

When can investors exercise, and when can they sell?

Tie exercise to a notice of the token generation event, and shorten the window once that notice goes out. In Magna’s sample, the warrant expires at the earlier of 10 years from issue or 60 days after TGE notice. A short post-notice window stops unexercised warrants sitting on the books as an open claim.

Unlocks are usually set later, during token design, not at signing. Magna suggests the warrant say the investor’s schedule will be no more restrictive than any other insider’s, sometimes with a ceiling such as four years. Its illustrative examples put team tokens on four-year monthly unlocks with a one-year cliff and investors on three years with a one-year cliff. It adds that lead investors may seek approval rights over unlock schedules.

Unlock design matters for price as well as fairness. Keyrock’s study of more than 16,000 unlock events across 40 tokens found about 90% created negative price pressure. Team unlocks did the most damage. Investor unlocks, across 106 events, showed controlled and minimal declines. That supports parity clauses, but not identical schedules for everyone. Keyrock also found price pressure often starts about 30 days before an unlock. Stagger investor and team cliffs so they do not land in the same month.

What price do investors pay, and who sets it?

Have an independent valuation firm set the exercise-time token price, and keep it apart from the headline token valuation. Tally described its own process: an independent third-party firm set the valuation that determined what investors paid for their token allocations. Tally adds that a badly handled valuation can create a significant tax liability on the team’s own allocations.

Magna draws the same line. The implied token valuation in a warrant is a figure investors track. Fair market value comes from a valuation firm that discounts for lack of marketability, liquidity and transfer or custody restrictions. The gap resembles the one between a 409A valuation and a preferred share price. How rounds are priced against fully diluted value is covered in our FDV guide, linked below.

The securities question does not disappear at exercise. The SEC’s March 2026 interpretation, as Morrison Foerster summarises it, says a token can be sold as part of an investment contract without itself being a security, and can later separate from that contract. Counsel should decide how token delivery under each warrant fits that analysis before the TGE, not after.

What goes wrong: the question you could not answer

The token warrant failure surfaces at launch, when someone asks a question the files cannot answer. Which formula did the 2024 seed warrants use, and what was the reserve on the day they were signed? How many tokens do all outstanding warrants claim in total? Which investors have approval rights over unlocks? Were the side letters ever assigned to the foundation?

By then, the people who negotiated the round may have moved on. Each warrant was drafted on its own terms, and nobody kept a single register. The CFO finds out the total claim on supply when investors start sending exercise notices.

Keep a token-rights register from the first warrant. Record each holder, formula, reserve definition, unlock terms, consent rights and assignment status. Reconcile it against the cap table at every round, and treat it as a board record.

How Alcyone approaches it

Drafting the warrant is counsel’s work. Alcyone’s role is to make the token rights match a token model the company can actually ship: reserve sizes, unlock schedules and the order of rounds. That sits inside Alcyone’s fundraising and tokenomics advisory, which opens with a fixed-scope, fixed-fee assessment credited against further work. Its partners built and operate Team Finance, which has 40,000+ projects on it.
